Sendal Terms and Conditions

Effective Date: May 29, 2026

This End User Agreement ("Agreement") governs your access to and use of the Sendal platform, including Sendal Breathe™, Sendal Aware™, Watchdog™, and any related software applications, mobile applications, cloud services, alerts, reports, dashboards, integrations, APIs, and autonomous software agents (collectively, the "Services").

By accessing or using the Services, you agree to be bound by this Agreement.

1. Services

Sendal provides software services that collect, analyze, and present information from connected devices, sensors, third-party systems, internet-based data sources, and user inputs.

The Services may provide:
• Indoor air quality monitoring
• Ventilation recommendations
• Humidity management recommendations
• HVAC operational insights
• Water leak detection alerts
• Freeze and overheat notifications
• Seasonal home monitoring
• Energy insights
• Property monitoring
• Automated device control
• Agentic software services and autonomous decision support

The Services are intended to assist homeowners and property managers and are not a substitute for professional judgment, inspections, maintenance, or emergency services.

2. No Guarantee of Results

Sendal does not guarantee:
• Indoor air quality improvements
• Elimination of pollutants
• Mold prevention
• Water damage prevention
• Energy savings
• Utility cost reductions
• Equipment performance
• Equipment longevity
• Insurance claim avoidance
• Prevention of property loss
• Prevention of health impacts

Actual results depend on numerous factors beyond Sendal's control, including:
• Equipment condition
• Installation quality
• User behavior
• Building construction
• Weather conditions
• Internet connectivity
• Utility service availability
• Third-party device functionality

3. Not Emergency Monitoring

THE SERVICES ARE NOT A LIFE-SAFETY OR EMERGENCY RESPONSE SYSTEM.

The Services are not monitored by emergency personnel and are not intended to dispatch emergency responders.

Users should not rely on the Services as their sole means of:
• Fire detection
• Carbon monoxide detection
• Security monitoring
• Medical monitoring
• Emergency response

Users remain responsible for maintaining all legally required life-safety devices and emergency response procedures.

4. Health and Indoor Air Quality Disclaimer

Information provided through Breathe is for informational purposes only.

Sendal is not a healthcare provider, environmental consultant, industrial hygienist, physician, or medical device manufacturer.

The Services do not diagnose, treat, cure, or prevent any disease or medical condition.

Any health-related information provided by the Services should not be considered medical advice.

Users should consult qualified medical professionals regarding health concerns.

5. Water Damage and Property Protection Disclaimer

Aware and Watchdog may generate alerts relating to:
• Water leaks
• Excess humidity
• Temperature conditions
• Equipment operation
• Environmental conditions

Sendal does not guarantee that:
• All events will be detected
• Alerts will be received
• Property damage will be prevented
• Losses will be avoided

Users remain solely responsible for protecting and maintaining their property.

6. Third-Party Devices and Services

The Services may integrate with third-party products, including thermostats, HVAC systems, leak detectors, shutoff valves, air quality monitors, dehumidifiers, ventilation systems, smart switches, cloud services, and mobile applications.

Sendal does not control and is not responsible for:
• Third-party products
• Device failures
• Connectivity failures
• Cloud outages
• API changes
• Manufacturer actions

Third-party products may stop functioning or become incompatible without notice.

7. Autonomous Software Agents

Certain Services may utilize artificial intelligence, machine learning, predictive analytics, autonomous decision-making, or software agents.

These capabilities are intended to assist users but may:
• Generate incorrect recommendations
• Produce inaccurate alerts
• Fail to identify conditions
•  Take actions that do not achieve desired outcomes

Users acknowledge that autonomous software decisions are probabilistic in nature and may not always be accurate.

Users remain responsible for all decisions affecting their home, property, occupants, and equipment.

8. User Responsibilities

Users agree to:
• Maintain working internet access
• Maintain electrical power to devices
• Maintain connected equipmentInstall and maintain supported devices
• Keep contact information current
• Review alerts and notifications promptly
• Follow applicable laws and regulations

Failure to satisfy these requirements may reduce Service effectiveness.

9. Subscription and Billing

Access to certain Services requires payment of subscription fees.

Subscriptions automatically renew unless canceled.

Fees are non-refundable except where required by law.

Sendal may modify pricing upon notice.

10. Data Ownership

Users retain ownership of data generated by their homes and devices.

Users grant Sendal a worldwide, non-exclusive license to:
• Process data
• Analyze data
• Store data
• Aggregate data
• Create anonymized insights
• Improve Services

Sendal may use anonymized and aggregated data for analytics, benchmarking, research, product improvement, and commercial purposes.

11. Privacy

Collection and use of personal information is governed by the Sendal Privacy Policy.

By using the Services, users consent to the collection and processing of information as described in the Privacy Policy.

12. Warranty Disclaimer
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."TO THE MAXIMUM EXTENT PERMITTED BY LAW, SENDAL DISCLAIMS ALL WARRANTIES, INCLUDING:
• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY
• RELIABILITY
• AVAILABILITY
• SECURITY
• UNINTERRUPTED OPERATION

Sendal does not warrant that the Services will be error-free or uninterrupted.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

SENDAL SHALL NOT BE LIABLE FOR:
• PROPERTY DAMAGE
• WATER DAMAGE
• MOLD DAMAGE
• EQUIPMENT FAILURE
• LOSS OF DATA
• LOST PROFITS
• LOSS OF BUSINESS
• LOSS OF USE
• PERSONAL INJURY
• INDIRECT DAMAGES
• INCIDENTAL DAMAGES
• CONSEQUENTIAL DAMAGES

SENDAL'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE FEES PAID BY THE USER TO SENDAL DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. This type of liability cap is common in SaaS agreements.

14. Indemnification

Users agree to defend, indemnify, and hold harmless Sendal and its officers, directors, employees, contractors, partners, and licensors from any claims arising out of:
• User misuse
• Violation of this Agreement
• Unauthorized access
• Improper installation
• Third-party equipment failures

15. Suspension and Termination

Sendal may suspend or terminate access for:
• Non-payment
• Security concerns
• MisuseIllegal activity
• Violations of this Agreement

Users may terminate their subscriptions at any time.

16. Intellectual Property

The Services, software, workflows, algorithms, software agents, interfaces, trademarks, copyrights, patents, and related intellectual property remain the exclusive property of Sendal.

No ownership rights are transferred to users.

17. Governing Law

This Agreement shall be governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

18. Dispute Resolution

Any dispute shall be resolved through binding arbitration conducted in Delaware.

Users waive any right to participate in class action litigation.

19. Changes to Agreement

Sendal may modify this Agreement from time to time.

Continued use of the Services constitutes acceptance of any revised Agreement.
